Deepgram — Flux TTS Credit Bonus Promotion Terms

These Deepgram Flux TTS Credit Bonus Promotion Terms (these "Promotion Terms") govern Deepgram, Inc.'s ("Deepgram," "we," "us," or "our") limited-time credit bonus promotion described below (the "Promotion"). By participating, you agree to these Promotion Terms in addition to Deepgram's Terms of Service at https://deepgram.com/terms (the "Deepgram Terms"). Capitalized terms not defined here have the meanings given in the Deepgram Terms.

1.1 Promotion Period. The Promotion begins at 12:00 a.m. Pacific Time on September 15, 2026 and ends at 11:59 p.m. Pacific Time on December 31, 2026 (the "Promotion Period"). Qualifying Usage must occur during the Promotion Period.

1.2 The Offer. When an Eligible Project (defined below) incurs Qualifying Usage during the Promotion Period, Deepgram will add $1 per Qualifying Usage dollar in bonus credits to that project (the "Bonus Credits"), up to a maximum of $500 in Bonus Credits. "Qualifying Usage" is usage of paid credits for Flux TTS by an Eligible Project. For clarity, usage of paid credits for other Deepgram products or services, or usage of promotional credits, is not a Qualifying Usage.

1.3 Pricing. Current pricing is at https://deepgram.com/pricing. Deepgram may update plans, pricing, features, usage limits, and billing under the Deepgram Terms.

1.4 Definitions. "Project" means a workspace within Deepgram Console; credits are held and used at the Project level. An "Eligible Project" meets all of the criteria for eligibility in Section 2.

2.1 Eligible Project. The Promotion is available to new and existing Deepgram Pay-As-You-Go and Growth projects, subject to Section 2.7.

2.2 Project Requirements. To qualify and remain eligible, the project must: (a) be a new or existing active Deepgram Pay-As-You-Go or Growth project in good standing; (b) have associated accurate, complete, current account and billing information; (c) maintain a valid payment method; and (d) comply with the Deepgram Terms and all applicable laws.

2.3 Up to $500 Credit Bonus Per Eligible Project; Multiple Eligible Projects Allowed. Bonus Credits are granted per Eligible Project, based on that Project's Qualifying Usage of paid credits for Flux TTS during the Promotion Period, and are redeemable only within that Eligible Project. The $500 maximum applies to each Eligible Project separately. Usage can't be combined across Projects.

2.4 Ineligible Projects. Enterprise projects are not eligible for the Promotion.

2.5 Geographic Availability. The Promotion is available only where Deepgram's services are lawfully offered and the Promotion is not prohibited or restricted. Deepgram may restrict availability in any jurisdiction at its discretion.

2.6 Public Sector and Other Regulated Customers. Government, public sector, and customers in regulated industries are responsible for confirming participation is permitted under their procurement, ethics, gifts, and contracting rules. Deepgram may require additional approvals before applying the Promotion. If the Promotion is not permitted under your organization's rules, please contact us and we will remove the Bonus Credits.

2.7 Duplicate / Abusive Accounts and Projects. Accounts or Projects that Deepgram reasonably determines are duplicates, or were created or used primarily to obtain Bonus Credits rather than for genuine use — including creating multiple Projects with no meaningful independent purpose — are not eligible, and Deepgram may decline, revoke, or reverse Bonus Credits in such cases.

3.1 Grant. Bonus Credits are granted to the Eligible Project after the Qualifying Usage occurs, typically within 1 week. Deepgram may verify eligibility before granting Bonus Credits.

3.2 Redemption Limit. Bonus Credits are limited to $500 in credits per Eligible Project. There is no cap on redemptions per account or payment method, subject to Section 2.7. Usage paid with any promotional credit, including but not limited to the $200 signup credit and Bonus Credits from this Promotion, is not Qualifying Usage.

3.3 Use of Credits. Bonus Credits apply only toward later Deepgram API usage by that project. They do not apply to taxes, third-party charges, professional services, or amounts not denominated in project credits unless Deepgram states otherwise.

3.4 Expiration. Bonus Credits do not expire. For clarity, paid credits are governed by the Deepgram Terms and also do not expire.

3.5 No Cash Value. Bonus Credits have no cash value and are not redeemable for cash, refunds, or other consideration.

3.6 Non-Transferable. The Promotion and Bonus Credits are specific to the Eligible Project and may not be sold, assigned, transferred, or applied to any other account or project.

3.7 No Combination. The Promotion may not be combined with any other discount, promotional code, credit, referral, partner/program credit, or negotiated pricing unless Deepgram permits it in writing. This restriction does not apply to Deepgram's standard $200 in free sign-up credits, which every new account receives and which participants keep in addition to the Bonus Credits, however, usage paid with sign-up credits is not Qualifying Usage.

3.8 No Retroactive Application. The Promotion does not apply to usage occurring before or after the Promotion Period or outside these Promotion Terms.

4.1 Authorization. By making a deposit, you authorize Deepgram and its payment processor to charge your payment method for the deposit amount, plus applicable taxes and fees.

4.2 Auto-Reload. Auto-reload is not a condition of the Promotion. If Auto-reload is enabled, your payment method will be automatically charged to replenish your balance per your Billing settings; you can review, change, or disable Auto-reload at any time in Billing.

4.3 No Refunds for Bonus Credits. Bonus Credits are non-refundable and are not redeemable for cash. Refunded or charged-back Flux TTS usage renders that usage no longer Qualifying Usage, and associated Bonus Credits are forfeited.

5.1 Changes. Deepgram may modify, suspend, or cancel the Promotion at any time, including for technical issues, billing errors, fraud, abuse, legal requirements, or business changes.

5.2 Effect on Redemptions. Deepgram will use reasonable efforts to avoid materially reducing benefits already validly redeemed by Eligible Projects except as required by law or to address fraud, abuse, or error.

5.3 Errors. Deepgram may correct typographical, technical, pricing, or billing errors relating to the Promotion at any time, including after a deposit is submitted or usage has occurred.

6.1 Conflicts. The Deepgram Terms continue to govern your use of the services. If these Promotion Terms conflict with the Deepgram Terms, these Promotion Terms control only as to the Promotion, eligibility, and Bonus Credit mechanics; the Deepgram Terms control in all other respects.

7.1 Severability. If any provision is unenforceable, it is severed and the rest remains in effect.

7.2 No Waiver. Deepgram's failure to enforce any provision is not a waiver.

7.3 Entire Agreement. These Promotion Terms, with the Deepgram Terms, are the entire agreement regarding the Promotion.
